Terms of Service

1. Acceptance of Terms
By accessing or using the Chirply platform, including the website at chirply.app and associated applications (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Chirply provides a cloud-based business communication platform that includes:
- Business phone numbers (local and toll-free)
- Voice calling and call management
- SMS and MMS messaging
- Video conferencing
- AI-powered features (voicemail transcription, call summaries, auto-responders)
- Team collaboration and call routing tools
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
You must be at least 18 years old to create an account. Business accounts must provide valid business information for compliance purposes.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam), robocalls, or messages without proper recipient consent
- Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any applicable telecommunications laws
- Harass, threaten, or abuse any person
- Transmit illegal, harmful, or fraudulent content
- Interfere with the Service or its infrastructure
- Impersonate any person or entity
- Use the Service for any illegal purpose
We reserve the right to suspend or terminate accounts that violate these terms without notice.
5. Messaging Compliance
When using our SMS/MMS messaging features, you must:
- Obtain proper consent from recipients before sending messages, in compliance with TCPA and CTIA guidelines
- Honor opt-out requests immediately — recipients can reply STOP at any time to stop receiving messages
- Include your identity and opt-out instructions in messages where required by law
- Not send messages to numbers on the National Do Not Call Registry without prior express consent
- Maintain records of consent for all message recipients
Violation of messaging compliance rules may result in immediate account suspension and potential legal liability.
6. Phone Numbers
Phone numbers provisioned through the Service are licensed to you for use with the Service. You do not own phone numbers — they remain the property of the underlying carrier. Phone numbers may be:
- Ported to or from the Service in accordance with FCC regulations
- Released back to the carrier pool if your account is terminated
- Subject to regulatory requirements including 10DLC registration for A2P messaging
7. Pricing and Payment
Subscription fees are billed monthly or annually as selected during signup. Usage-based charges (e.g., international calling, additional phone numbers) are billed in arrears.
- All fees are in US dollars unless otherwise stated
- Prices may change with 30 days' notice
- Refunds are provided on a pro-rata basis for annual plans canceled within 30 days
- Overdue accounts may have service suspended after 15 days
8. Free Trial
We may offer a free trial period. During the trial, you have access to the features described at signup. At the end of the trial period:
- Your account will convert to a paid subscription unless canceled
- No charge is made until the trial period ends
- Phone numbers provisioned during the trial may be released if you do not subscribe
9. AI Features
Chirply offers AI-powered features including voicemail transcription, call summaries, and auto-responders. By enabling these features:
- You consent to the processing of call audio and message content by our AI systems
- AI outputs are provided as-is and may contain errors — you are responsible for reviewing AI-generated content before acting on it
- AI features may be modified or discontinued as the technology evolves
10. Call Recording
If you enable call recording features, you are solely responsible for complying with all applicable federal and state recording consent laws. Many jurisdictions require all-party consent before recording a call. Chirply is not responsible for your compliance with recording laws.
11. Intellectual Property
The Service, including its software, design, and content, is owned by Chirply and protected by intellectual property laws. You retain ownership of content you create and transmit through the Service.
12. Limitation of Liability
To the maximum extent permitted by law, Chirply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
13. Service Availability
We strive for 99.99% uptime but do not guarantee uninterrupted service. We are not liable for service interruptions caused by factors beyond our control, including carrier outages, natural disasters, or internet disruptions.
14. Termination
Either party may terminate this agreement at any time. Upon termination:
- Access to the Service will be revoked
- Phone numbers will be released unless ported to another provider within 30 days
- Data will be retained for 30 days, after which it may be permanently deleted
- Outstanding charges remain payable
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.
16. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance.
